Welcome to Riibase. These Terms and Conditions (“Terms") govern your access to and use of the website www.riibase.com, Riibase applications, software platforms, products, and related services (collectively, the “Services").

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

In these Terms, “Riibase", “Company", “we", “us", or “our" refers to Riibase LLC.

Riibase provides business software solutions, including but not limited to customer relationship management (CRM), business automation tools, lead management, communication tools, analytics, integrations, and related digital services.

We reserve the right to modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, where reasonably necessary.

3. Eligibility and Account Registration

To use certain Services, you may be required to create an account.

You agree that:

  • - All registration information provided is accurate, complete, and current.
  • - You are authorised to create and manage the account.
  • - You are responsible for maintaining the confidentiality of your login credentials.
  • - You are responsible for all activities performed through your account.

You must immediately notify Riibase if you suspect unauthorised access, security breaches, or misuse of your account.

4. Acceptable Use

You agree not to use the Services to:

  • - Violate any applicable laws or regulations.
  • - Upload, transmit, or distribute malicious software, viruses, or harmful code.
  • - Attempt to gain unauthorised access to Riibase systems or other users’ accounts.
  • - Abuse, disrupt, or interfere with the Services.
  • - Process unlawful, fraudulent, or misleading information.
  • - Send unsolicited communications or spam.
  • - Reverse engineer, copy, modify, or create derivative works from the Services unless expressly permitted.

Riibase reserves the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Payments

Certain Services may require payment of subscription fees.

By subscribing, you agree:

  • - To pay all applicable fees according to your selected plan.
  • - That payments may be processed through third-party payment providers.
  • - That subscription fees may be changed with reasonable prior notice.
  • - That taxes, including applicable VAT or government charges, may apply.

Unless otherwise stated, subscription fees are non-refundable.

6. Free Trials and Promotions

Riibase may offer free trials, promotional plans, discounts, or limited-time offers.

We reserve the right to:

  • - Modify or cancel promotional offers.
  • - Limit eligibility.
  • - Prevent misuse of promotional programs.

Trial accounts may expire if not converted into paid subscriptions.

7. Customer Data and Privacy

You retain ownership of all data, information, records, content, and materials that you upload or store using the Services (“Customer Data").

Riibase:

  • - Does not claim ownership of Customer Data.
  • - Uses Customer Data only to provide, maintain, secure, and improve the Services.
  • - Implements reasonable security measures to protect Customer Data.

Your use of the Services is also subject to our Privacy Policy.

8. Data Protection and Compliance

Both parties agree to comply with applicable data protection laws and regulations.

Customers are responsible for ensuring that they have lawful rights to collect, process, and store any personal information submitted through Riibase.

Riibase may process information as required to provide the Services and fulfil contractual obligations.

9. Intellectual Property Rights

All rights, title, and interest in the Services, including software, source code, designs, interfaces, branding, logos, documentation, and content, are owned by Riibase LLC or its licensors.

You receive a limited, non-exclusive, non-transferable licence to use the Services only for your internal business purposes.

You may not:

  • - Copy or reproduce the Services.
  • - Sell, resell, lease, or sublicense the Services.
  • - Remove intellectual property notices.
  • - Use Riibase branding without written permission.
10. Third-Party Services and Integrations

The Services may integrate with third-party applications, platforms, or services.

Riibase does not control third-party services and is not responsible for:

  • - Availability of third-party platforms.
  • - Third-party security practices.
  • - Third-party content.
  • - Losses caused by third-party services.

Your use of third-party services is subject to their own terms and policies.

11. Service Availability

Riibase aims to provide reliable and continuous access to the Services.

However, we do not guarantee that the Services will:

  • - Always be available.
  • - Be uninterrupted.
  • - Be error-free.
  • - Meet every specific business requirement.

Temporary interruptions may occur due to maintenance, upgrades, technical issues, or circumstances beyond our reasonable control.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Riibase LLC shall not be liable for:

  • - Indirect, incidental, special, or consequential damages.
  • - Loss of profits, revenue, business opportunities, or data.
  • - Business interruption.
  • - Damages resulting from misuse of the Services.

Where liability cannot be excluded, Riibase’s total liability shall be limited to the amount paid by the customer to Riibase during the preceding twelve (12) months.

13. Disclaimer

The Services are provided on an “as available" and “as is" basis.

Riibase does not warrant that:

  • - The Services will meet all requirements.
  • - Results obtained from using the Services will be accurate or guaranteed.
  • - The Services will be free from defects.

Customers remain responsible for their business decisions and processes.

14. Suspension and Termination

Riibase may suspend or terminate access to the Services if:

  • - You breach these Terms.
  • - Payment obligations are overdue.
  • - Your use creates security risks.
  • - Required by law or regulatory authorities.

Upon termination:

  • - Your access rights will end.
  • - Outstanding payment obligations remain due.
  • - Certain provisions of these Terms will continue to apply.
15. Customer Responsibilities After Termination

Customers are responsible for exporting or saving their data before termination.

Riibase may delete customer data after account termination according to applicable retention policies.

16. Confidentiality

Each party agrees to protect confidential information received from the other party and use it only for the intended business purpose.

Confidential information does not include information that:

  • - Is publicly available.
  • - Was already known.
  • - Is independently developed.
  • - Is required to be disclosed by law.
17. Changes to These Terms

Riibase may update these Terms from time to time.

Updated Terms will be published on this website with a revised effective date.

Continued use of the Services after changes means you accept the updated Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted according to the laws of the United Arab Emirates.

Any dispute arising from these Terms shall be subject to the applicable courts and legal authorities of the United Arab Emirates, unless otherwise agreed in writing.
